Range Rover 4.6 (e38?)

If the Disco is written off, Cyndi is now interested in a '99 - '02 e38 Range rover 4.6 due to 1,000# better towing capacity. Am I correct that the drive train is the same as a 4.6 Disco? Are there any special things of which to be wary? Does the 4.6 spit head gaskets as badly as the 4.0?

She'd really like a RR SIII but we don't have the money for that.
